The Orchard, a leading music distribution company, is seeking a Counsel for their Business & Legal Affairs team in New York City. This role requires an experienced transactional attorney with a background in mergers and acquisitions (M&A). The ideal candidate will have at least 6 years of experience at a major law firm, with a minimum of 3 years focused on M&A. They must also have a JD from a reputable law school and be a member of the New York Bar in good standing.
In this role, the Counsel will be responsible for drafting and negotiating a variety of transactional and commercial agreements, with a focus on M&A and equity acquisition. They will also be expected to conduct and manage legal due diligence for potential transactions, coordinate with cross-functional teams, and drive continuous improvements and scalability in deal processes. Additionally, there may be opportunities for additional deal work, such as joint venture agreements, distribution agreements, vendor/services agreements, and licenses.
The ideal candidate will have excellent negotiating and drafting skills, as well as strong analytical and communication skills. They must be a team player with the ability to work with others within their group and across divisions. A highly responsive and service-oriented attitude is also a must, as well as experience independently negotiating complex business transactions. Flexibility to assist the legal team in various activities as needed is also required.

The anticipated annual base salary for this role is between $145,000 and $180,000, depending on various factors such as qualifications, experience, and location. This does not include any additional compensation or benefits that the individual may be eligible for.
